FrogBillThese terms are an agreement between you and SHARON V, a sole proprietor trading as FrogBill, of Sreenidhi, Kalluvalap, Cheruvanchery, Kerala 670650, India (“FrogBill”, “we”, “us”). They apply when you visit this website or use the FrogBill app. By creating an account, you accept them. If you use FrogBill for a business, you accept them on behalf of that business and confirm you can do so.
1. What FrogBill is
FrogBill is online software for making quotations and invoices, sharing them with your customers, recording payments and seeing reports. We provide the software; we are not a party to any deal between you and your customers, and we don’t collect payments on your behalf.
2. Your account
- You must be at least 18 and able to enter a contract under Indian law.
- Give accurate details and keep them up to date. Keep your password private; you’re responsible for activity in your account.
- People you invite to your business act under your account. You decide their access and are responsible for what they do.
- Tell us straight away at hello@frogbill.com if you think someone has got into your account.
3. Free trial
Each new business gets one free trial of 7 days with up to 20 quotations and 20 invoices, ending when any one of these runs out. One free trial is available per person. When it ends you can still sign in and see, edit, send and download what you made, but creating new quotations and invoices needs a paid plan.
4. Plans, prices and payment
- Paid plans, their prices and what they include are shown on our pricing page and in the app. Prices are in Indian rupees. If GST or another tax applies, it is shown before you pay.
- Plans are billed monthly in advance through our payment partner, Razorpay, and renew automatically each month until cancelled. By subscribing you authorise these recurring charges.
- Plan limits (for example users, documents per month or customers) are enforced by the software. Upgrades take effect immediately; downgrades take effect at the end of the current paid month.
- If a renewal payment fails, you have a 3-day grace period to fix it, after which creating new documents is paused until payment succeeds.
- We may change prices or plans. We’ll give you at least 30 days’ notice by email or in the app before a price change affects you; you can cancel before it takes effect.
5. Cancellation and refunds
You can cancel at any time from Plan & billing. Your plan keeps working until the end of the month you’ve paid for, and then doesn’t renew. Payments already made are not refunded, except where the law requires it. See our cancellation and refund policy.
6. Your content and data
- Everything you put into FrogBill — your business details, customers, products, quotations, invoices and payments (“your content”) — belongs to you.
- You give us permission to store, process and display your content only as needed to provide and secure the service, and to show shared documents to the people you send them to.
- For personal data of your own customers, you are responsible for having a lawful reason to use it; we process it on your behalf under our data processing addendum, which forms part of these terms.
- You are responsible for your documents being correct and lawful, including tax rates, tax registration numbers and amounts. FrogBill does not give tax, accounting or legal advice.
- How we handle personal data is described in our privacy policy.
7. Acceptable use
You agree not to use FrogBill to:
- issue false, misleading or fraudulent quotations or invoices, or evade tax;
- break any law, or infringe anyone’s rights;
- send spam, or share links to FrogBill documents with people who haven’t dealt with you;
- upload malware, probe or break our security, overload the service, or get around plan limits;
- copy, resell or reverse-engineer the software, or access it by automated means except through features we provide.
8. Our software and brand
The FrogBill software, templates, website and brand belong to us or our licensors. We give you a personal, non-transferable right to use them while your account is active and these terms are followed. You don’t get any other rights in them. If you send us feedback, we may use it freely.
9. Availability and changes
We work to keep FrogBill available and your content safe, and we take regular backups, but we can’t promise the service will be uninterrupted or error-free. We may improve or change features; if we remove something important from your paid plan, we’ll tell you in advance. Features marked “coming soon” are plans, not promises.
10. Suspension and ending your account
- You can stop using FrogBill at any time, and ask us to close your account by emailing hello@frogbill.com.
- We may suspend or close an account that breaks these terms, puts the service or others at risk, or where the law requires us to — with notice where reasonably possible.
- Before closing, you can download your documents as PDF (and, on plans that include exports, your lists as CSV). After an account is closed, we delete its content as described in our privacy policy.
11. Liability
- FrogBill is provided “as is” and “as available”. To the extent the law allows, we exclude all implied warranties.
- We are not liable for indirect or consequential loss, such as lost profits, lost business or lost data you could have exported, or for mistakes in documents you created.
- Our total liability to you for any claim is limited to the fees you paid us in the 3 months before the claim.
- Nothing in these terms limits liability that cannot be limited by law.
12. Indemnity
You agree to cover our reasonable costs and losses if a claim is made against us because of your content, your use of FrogBill in breach of these terms, or your dealings with your customers.
13. Events outside our control
We aren’t responsible for delays or failures caused by events beyond our reasonable control, such as outages at hosting or payment providers, internet failures, natural disasters or government action.
14. Law and disputes
These terms are governed by the laws of India. Before going to court, please contact us so we can try to resolve the issue. Courts in Kannur district, Kerala, India have exclusive jurisdiction.
15. Changes to these terms
We may update these terms. For changes that matter, we’ll tell you by email or in the app at least 15 days before they take effect. If you keep using FrogBill after that, you accept the new terms; if you don’t agree, you can cancel.
16. General
If part of these terms can’t be enforced, the rest still applies. If we don’t enforce a right straight away, we don’t give it up. You may not transfer your account without our agreement. These terms, with the policies they link to, are the whole agreement between us about FrogBill.
